VOIPLabs Holdings Inc. Acquires Controlling Interest in POPstar Communications Corp.


PORTLAND, Ore., June 15, 2005 (PRIMEZONE) -- VoIPLabs Holdings Inc. (Pink Sheets:VPBH) announced today that it has acquired a controlling interest in POPstar Communications Corp. (Pink Sheets:POPS) in a Definitive Agreement signed on June 3, 2005.

POPstar Communications Corp. was founded by John McDermott and Thompson Chu in 1998 to develop highly functional, enterprise-wide Fax over Internet Protocol ("FoIP") and Voice over Internet Protocol ("VoIP") products to be marketed to Application Service Providers ("ASP") and Corporate enterprise-wide distribution networks. The Company's products run robustly on Sun and Linux platforms and are fully compatible with Cisco gateways, supporting both H323 and SIP standards for the vast global VoIP network. Satisfied customers over the years have included several Fortune 500 corporation's, international banking, brokerage and financial institutions and some major U.S. Companies. The Company continues to service several hundred customers.

Edward Gallagher has been recruited to serve as Chief Executive Officer of PopStar and a board advisor to VPBH.

The financial terms are confidential. Both Companies are debt free.

Email Solution

Enroute Mail product is a high-capacity, open standard server "engine." It supports popular mail server features in a clustered, highly scalable, and easy to maintain package. Enroute Mail's robust IMAP4 core also supports webmail and POP3 mail; sendmail functions are handled by the field-proven EXIM SMTP engine. Subscriber information is maintained in an LDAP directory structure, supplemented by a relational database for flexibility and performance. For enterprise/outsourced customers, Enroute Mail offers multi-tiered, domain-restricted administration capabilities, allowing enterprise subscriber management if desired.

Clearinghouse

The POPstar Clearinghouse is a mechanism that enables a network of independent POPstar partners to exchange and settle global VoIP/FoIP traffic. The Clearinghouse reduces service providers' dependence on Tier 1-2 carriers. It eliminates the need to negotiate multiple bilateral agreements or make upfront financial commitments in order to secure favorable routes and rates.

By enrolling in the Clearinghouse, partners can potentially increase their margins, extend the reach of their VoIP/FoIP connectivity, and derive ongoing revenue through the termination of other partners' traffic.

The Clearinghouse authorizes, routes, and rates each call between originating and terminating Voice-over-IP (VoIP) and Fax-over-IP (FoIP) gateways, thereby allowing end-to-end operation, transfer, and mediation of VoIP and FoIP calls over the public Internet.

The Clearinghouse is not a carrier or wholesaler of long distance minutes. It is a mechanism that enables members to exchange traffic and complete a transaction between an Originating Gateway (OGW) and Terminating Gateway (TGW). The Clearinghouse takes care of the administrative functions to complete these transactions
