On 28 September 2005, Sika AG ("Sika") launched a public tender offer for all publicly held registered shares of Sarna Polymer Holding Inc. ("Sarna"). Until the end of the offer period on 25 October 2005, Sika was offered to purchase 1,510,773 Sarna shares. This corresponds to 66.26 % of the 2,279,960 Sarna shares held by the public at the time of the publication of the tender offer. Furthermore, Sika purchased 63,000 Sarna shares over the counter during the offer period which corresponds to an additional 2.76 % of the Sarna shares held by the public at the point in time mentioned above. The acceptance rate thus amounts to a total of 69.03 %. Taking into account Sarna's 120,040 treasury shares, Sika's shareholding amounts to totally 70.58 % of the share capital and the voting rights of Sarna.
Sika declares the tender offer to be successful subject to the anti-trust approvals and with the reservation that until payment of the offer price, no verdict, no order or any other official decree be passed prohibiting the tender offer or its execution.
As stated in the offer prospectus, an additional acceptance period of ten trading days for the subsequent acceptance of the tender offer will be open from 31 October until 11 November 2005. The offer price is CHF 175.00 net per Sarna share and will be paid ten trading days after the conditions set forth have been met or waived at the latest. The delisting of the Sarna shares is planned upon completion of the tender offer.
