DPA supervisory board does not approve the intended take-over of DNC


With reference to the joint press release of DPA Flex Group N.V. (hereinafter referred to as: 'DPA Flex') and DNC De Nederlanden Companie N.V. (hereinafter referred to as: 'DNC') dated September 5, 2006, in which it was announced that the intended take-over of DNC was subject to the approval of the supervisory board of DPA Flex, assembling on September 6, 2006, the management of DPA Flex announces that the supervisory board of DPA Flex has decided not to approve the intended take-over of DNC. As a result, the DPA Flex management has decided not to make the offer.
 
This is a public announcement as intended in article 9b, paragraph 2 in section g of the 1995 Securities Transactions (Supervision) Decree.
 
This press release will also be published in English; the Dutch version prevails over the English version.
