Decisions of Extraordinary General Meeting of Shareholders of Fortis SA/NV on 4 October 2006

Fortis held an Extraordinary General Meeting of Shareholders of Fortis SA/NV in Brussels on 4 October 2006. The meeting follows on the May 2006 General Meeting of Shareholders, during which the vote on the subject of authorised capital failed to obtain the majority required. For the purposes of this Extraordinary Meeting of Shareholders, the use of authorised capital was split into two separate items.

Authorised capital (item 2 on the agenda)
The Shareholders' Meeting extended the mandate of the Board, approving the proposal to create authorised capital of EUR 1,071,000,000 for a period of three years. This mandate enables the company to cover its commitments in the context of certain financial instruments, to take initiatives to motivate managers and staff, and to seize opportunities that may arise, such as the funding of investments. As anticipated, the Shareholders' Meeting did not approve the use of authorised capital (not exceeding 10% of the outstanding shares) in the event of a public takeover bid. The required quorum of 75% was not met.

Lodging of securities and of proxies (item 3 on the agenda)
The Shareholders' Meeting did approve an extension of the so-called blocking period by one working day from four to five working days. This allows the company to comply with its legal requirement to provide shareholders with relevant documents prior to the Shareholders' Meeting.
