EWE Aktiengesellschaft: Strategic Partnership with EnBW

Oldenburg, 10 July 2008 – EWE Aktiengesellschaft and its communal
shareholders decided today as a result of the jointly conducted selection
procedure to enter into a strategic partnership with EnBW Energie
Baden-Württemberg AG. In connection with this cooperation EnBW acquires a
total participation of 26 % in EWE Aktiengesellschaft by a stock purchase
from EWE’s communal shareholders and by an increase in the share capital 
of EWE Aktiengesellschaft. The total transaction value is about 2 billion
euros. The transaction is subject to the approval of the German Federal
Cartel Office.
