ProVen Growth and Income VCT plc has given notice to shareholders of its Annual General Meeting ('AGM') to be held on 17 July 2008 at which a resolution will be proposed to adopt new Articles of Association. The full terms of that resolution are set out in the Notice of AGM ('the Notice') and an explanation of the effect of the proposed changes to the Articles of Association is set out within the Report of the Directors in the Annual Report and Accounts for the year ended 29 February 2008, which are available for download from www.provenvcts.co.uk and www.downing.co.uk.
In accordance with the Disclosure and Transparency Rule 6.1.2 a draft of the proposed new Articles of Association has been supplied to the UK Listing Authority and is available for inspection at the UK Listing Authority's Document Viewing Facility which is situated at:
