Duke Realty Corporation Announces Special Meeting of Shareholders

INDIANAPOLIS, IN--(Marketwire - May 18, 2009) - Duke Realty Corporation (NYSE : DRE ) today
announced that a special meeting of shareholders will be held at 10:00
a.m., local time, on Wednesday, July 22, 2009 at the company's offices
located at 600 East 96th Street, Suite 100, Indianapolis, Indiana 46240.
The purpose of the special meeting is to vote on the proposed amendment to
the Third Restated Articles of Incorporation of the company to increase the
number of authorized shares of common stock from 250 million to 400 million
and to increase the number of authorized shares of preferred stock from
five million to ten million.
Duke's board of directors has approved the proposed amendment, subject to
shareholder approval, and has determined that it is in the best interests
of the company and its shareholders to increase the number of authorized
shares of common stock and preferred stock to assure that there will be
sufficient shares available for issuance in connection with possible future
equity and equity-based financings, awards under employee benefit plans and
for other corporate purposes.
Duke has set May 29, 2009 as the record date for the determination of
shareholders entitled to notice of and to vote at the special meeting.
In connection with the proposed special meeting of shareholders, the
company will be filing a proxy statement with the Securities and Exchange

directors will be soliciting proxies from the company's shareholders.
