Nordecon International AS and its wholly-owned subsidiary Nordecon Infra AS signed a share purchase agreement by which Nordecon International AS sold its 52 per cent shareholding in Estonian company OÜ Mapri Projekt to Group company Nordecon Infra AS. This is an intergroup restructuring and as a result there is no change in Group's participation in OÜ Mapri Projekt shareholding. The title of the shares passes as per agreement on 31 May 2009. OÜ Mapri Projekt is a Nordecon International Group company domiciled in Estonia. Its main activities include various concrete works. The restructuring was made in line with Nordecon International Group strategy for 2009-2013. As per strategy Nordecon International AS is a holding company that is responsible for Group's strategic management and management of the support processes. Companies related to principal activities of the Group are transferred to subgroups responsible for operations either in buildings or infrastructure segment. The transaction does not have material economical effect on the activities of Nordecon International Group and does not qualify as an acquisition of significant holding within the meaning of “Requirements for Issuers” of the NASDAQ OMX Tallinn Stock Exchange regulations. The members of the supervisory board and management board of AS Nordecon International do not have any other personal interests in the incorporation of the company. Nordecon International is a group of construction companies whose core business is general contracting and construction management in the construction of buildings and infrastructures in Estonia, Latvia, Lithuania and Ukraine. In addition, in Estonia our companies act as independent contractors in road construction and maintenance, environmental engineering, the assembly of reinforced concrete elements, and the performance of cast-on-site concrete works. The parent of the Group is AS Nordecon International, a company registered and located in Tallinn, Estonia. In addition to the parent company, there are more than 20 subsidiaries in the Group. The consolidated revenue of the Group in 2008 was 3.9 billion kroons (247 million euros) and the consolidated net profit was 171 million kroons (11 million euros).
