Baltikums Banka Share Capital Has Been Increased to 23 mln

As a result of the new share emission Baltikums Banka paid up share capital has
been increased by LVL 8,264,000 to LVL 23,442,200. The emission has been fully
subscribed to and paid up by the Bank's shareholder - AS “Baltikums Bankas
Grupa”. 

“Baltikums Bankas Grupa” shares are owned by four residents of Latvia:

•	SIA “Alexander Peshkov Family Holdings” - 25%;
•	SIA “Sergey Peshkov Holdings” - 25%;
•	SIA “Oleg Chepulsky Holdings” - 25%;
•	SIA “Andrey Kochetkov Holdings” - 25%.

At the shareholders' meeting the decision was made to increase the capital
stock to LVL 23,442,200 and to make relevant amendments to the Articles of
Association. The capital stock has been fully paid and registered with the
Commercial Register. 

Amendments to the Articles of Association of AS “Akciju komercbanka “Baltikums””

To express Clause 3.1. „Fixed Capital and Types of Shares” of the Articles of
Association as follows: 

“3.1. The fixed capital of the Company amounts to 23'442'200 LVL (twenty-three
million four hundred and forty-two thousand lats). The fixed capital of the
Company consists of 23'442'200 (twenty-three million four hundred and forty-two
thousand) shares. The value of one share is 1 LVL (one lat).” 
 
To express Clause 2. „Lines of Commercial Activities” of the Articles of
Association as follows: 

„The Company shall carry on the following commercial activities:
1)      Other monetary intermediation (NACE 2 - 64.19);
2)      Financial leasing (NACE 2 - 64.91);
3)      Other lending services (NACE 2 - 64.92);
4)      Other financial service activities, except insurance and pension
funding n.e.c. (NACE 2 - 64.99); 
5)      Administration of financial markets (NACE 2 - 66.11);
6)      Security and commodity contracts brokerage (NACE 2 - 66.12);
7)      Other activities auxiliary to financial services, except insurance and
pension funding (NACE 2 - 66.19); 
8)      Fund management activities (NACE 2 - 66.3)”.
