MESA, Ariz., Oct. 6, 2010 (GLOBE NEWSWIRE) -- B2 Digital, Inc. (Pink Sheets:BTDG) announced today that it has been granted an Option to add 38 more mining claims in the Courville Township to the existing Joint Venture Agreement between both companies. The new claims are adjacent to the existing 4 large claims that were included in the NI 43-101Technical Report for Firma Gold's Courville property.
The 43-101 Technical Report includes various claims within the Courville Township property some of which are not currently owned by Firma Gold including those claims owned by Pershimco Resources. However Firma Gold does retain ownership of four of the largest claims that form part of the NI 43-101 Technical Report.
The NI 43-101 report covers certain claims on property located in the Courville Township, Abitibi Quebec, Canada and the report has been has filed at PinkSheets.com under "Financials - OTC Disclosure Supplemental Information September 30, 2010." B2 Digital is required to make two installments to secure the option to these claims with the final payment due on November 8, 2010 allowing for some limited due diligence to be undertaken. Upon the exercise of the option the 38 claims will be added to the existing Joint Venture Agreement under the same terms and conditions.
Under the terms of the Joint Venture Agreement entered into by B2 Digital, Inc. with Firma Gold Inc., B2 Digital, Inc. will immediately assume management control of these claims owned by Firma Gold in the Courviile Township as the Managing JV Partner. Additionally, B2 Digital will be responsible for funding the exploration, operation, and, if required, the disposition of the Firma Gold assets. In return, B2 Digital, Inc. will receive 90% of the net profit after deduction of any capital or operating costs incurred in their role as JV Managing Partner. Firma Gold will receive 10 percent of the net profit under terms of the Joint Venture Agreement.
