Reference is made to:
(i) the Kalvebod plc Series 2 Fixed/Floating Rate Secured Notes due 2106 (ISIN: DK0030029269), which have an outstanding principal amount of DKK 655,376,470.58 (the “Series 2 Notes”); and
(ii) the Kalvebod plc Series 3 Fixed/Floating Rate Secured Notes due 2014 (ISIN: DK0030033378), which have an outstanding principal amount of DKK 1,074,130,000 (the “Series 3 Notes” and together with the Series 2 Notes, the “Notes”).
Reference is further made to:
(i) the DKK 100,000,000 nominal of Amagerbanken Aktieselskab (“Amagerbanken A/S”) Perpetual Subordinated Bonds (ISIN: DK0030028451), which comprise part of the Collateral for the Series 2 Notes (the “Series 2 Amagerbanken Collateral”); and
(ii) the DKK 200,000,000 nominal of Amagerbanken A/S Subordinated Bonds due 01 November 2014 (ISIN: DK0030025515), which comprise part of the Collateral for the Series 3 Notes (the “Series 3 Amagerbanken Collateral”).
Amagerbanken A/S has in a press release as of 6 February 2011 announced, amongst other things, that Amagerbanken A/S has decided that it will file a bankruptcy petition with the bankruptcy court, following a failure of the bank to meet its solvency requirements and a subsequent winding-up of the activities of the bank (the “Amagerbanken Event”). Notice is hereby provided that, due to the fact that the Series 2 Amagerbanken Collateral comprises part of the collateral for the Series 2 Notes and the Series 3 Amagerbanken Collateral comprises part of the collateral for the Series 3 Notes, the Amagerbanken Event may or will have an adverse effect on the Notes. Information about the impact on the Series 2 Notes and the Series 3 Notes will follow when the situation has been clarified.
