A123 Systems Announces Pricing of Common Stock Offering and Convertible Subordinated Notes Offering


WALTHAM, Mass., April 1, 2011 (GLOBE NEWSWIRE) -- A123 Systems (Nasdaq:AONE), a developer and manufacturer of advanced Nanophosphate™ lithium ion batteries and systems, today announced the pricing of an offering of 18,000,000 shares of common stock at a price of $6.00 per share and an offering of $125,000,000 principal amount of convertible subordinated notes due 2016. The company has granted the underwriters a 30-day option to purchase up to an additional 2,700,000 shares of common stock, with respect to the stock offering, and up to $18,750,000 aggregate principal amount of the convertible notes, with respect to the convertible notes offering. 

The convertible notes will bear interest at a rate of 3.75% per year, payable on April 15 and October 15 of each year, commencing on October 15, 2011.  The convertible notes will mature on April 15, 2016. If A123 undergoes a "fundamental change" (as defined in the prospectus supplement relating to the notes), holders of the convertible have the option to require A123 to repurchase all or any portion of their convertible notes. A123 may not redeem the convertible notes prior to the maturity date.

Holders of convertible notes may surrender their convertible notes, in integral multiples of $1,000 principal amount, for conversion any time prior to the close of business on the third business day immediately preceding the maturity date. The initial conversion rate for each $1,000 aggregate principal amount of convertible notes is 138.8889 shares of common stock per $1,000 aggregate principal amount of convertible notes, equivalent to a conversion price of approximately $7.20 per share of our common stock, which represents a premium of approximately 20% to the public offering price of A123's shares in the concurrent common stock offering.

The net proceeds from the sale of the common stock are estimated to be approximately $102.7 million (approximately $118.2 million if the underwriters for the common stock offering exercise in full their option to purchase additional shares of common stock), after deducting the underwriting discounts and commissions and estimated offering expenses. The net proceeds from the sale of the convertible notes are estimated to be approximately $120.6 million (approximately $138.8 million if the underwriters for the convertible notes offering exercise in full their option to purchase additional convertible notes), after deducting the underwriting discounts and commissions and estimated offering expenses. A123 intends to use the proceeds from the common stock and convertible notes offerings for general corporate purposes. Pending these uses, A123 intends to invest the net proceeds from the common stock and convertible notes offerings in interest-bearing investment-grade securities.
