                  Purchase of Shares by Employee Benefit Trust



The  company has been informed that, on 2 November 2011, the trustees of the G4S
Employee  Benefit Trust ("the  Trust") purchased 990,352 ordinary  shares of G4S
plc at £2.5068 per share.

Following  the acquisition, 5,321,715 ordinary shares of G4S plc are held by the
Trust.

The  executive directors  of the  company and  other persons  within the company
discharging  managerial  responsibilities  are  within  the  class  of potential
beneficiaries  under the Trust and are  deemed to have a non-beneficial interest
in  these  ordinary  shares.   However,  none  of  these  persons has acquired a
beneficial interest in such shares.
