ExamWorks Reports First Quarter 2012 Financial Results


ATLANTA, GA--(Marketwire - May 9, 2012) - ExamWorks Group, Inc. (NYSE: EXAM), a leading provider of independent medical examinations ("IMEs"), peer reviews, bill reviews and related services, today reported financial results for the first quarter of 2012.

First Quarter 2012 Highlights

  • Revenues for the first quarter of 2012 were $123.7 million, an increase of $57.1 million, or 86%, over the year-ago quarter revenues of $66.6 million.

  • Actual revenues for the first quarter of 2012 were $123.7 million, an increase of $2.4 million, or 2.0% over the year-ago quarter pro forma revenues of $121.3 million. Excluding the impact of currency, revenues would have grown by 2.6% over the prior year quarter. Pro forma revenues assume that acquisitions completed in 2011 were completed on January 1, 2010.

  • Adjusted EBITDA for the first quarter of 2012 was $18.8 million (15.2% of revenues), an increase of $7.9 million, or 72%, over the year-ago quarter adjusted EBITDA of $10.9 million. Adjusted EBITDA is a non-GAAP measure that is described and reconciled to net loss below and is not a substitute for the GAAP equivalent.

  • In the first quarter of 2012, the company repurchased 39,000 shares of common stock at an average price of $9.91 per share. Since inception of the repurchase plan, the company has repurchased approximately 1,048,000 shares at an average price of $9.36 per share. As of March 31, 2012, the company has approximately $10.2 million remaining under its current authorization.

  • The company generated $4.8 million of cash flow from operations in the first quarter of 2012, net of $11.0 million of interest paid on the senior unsecured notes. The company ended the quarter with available liquidity in excess of $80 million, including cash on hand and availability under the senior secured revolving credit facility.

Financial Review

Revenues - For the three months ended March 31, 2012, revenues were $123.7 million, an increase of 86% over the $66.6 million in revenues in the first quarter of 2011. In the three months ended March 31, 2012, MES, Premex and the Q4 2011 Acquisitions contributed revenues of $36.7 million, $24.7 million and $9.2 million, respectively. The balance of $53.1 million of revenue was derived by the remaining ExamWorks' businesses, which we collectively refer to as the ExamWorks brand.

Below is a table summarizing quarterly pro forma revenue for the first quarter of 2011 and actual revenue for the first quarter of 2012 for ExamWorks, MES, Premex and the Q4 2011 Acquisitions. Pro forma revenues assume that acquisitions completed in 2011 were completed on January 1, 2010.

For the three months ended March 31, 2012, actual revenues were $123.7 million compared to $121.3 million of pro forma revenues in the first quarter of 2011, representing a pro forma increase of approximately 2%. Excluding the impact of foreign currency, pro forma revenues would have grown 2.6%.

The first quarter 2012 decline at ExamWorks brand of (0.9)% was a significant improvement compared to the fourth quarter 2011 decline of (12.4)%. The legislative changes in the province of Ontario that we have discussed in previous earnings releases negatively impacted the ExamWorks brand results by 4%.

Excluding the negative impact experienced in the province of Ontario, ExamWorks brand would have grown 2.8% in the first quarter of 2012 compared to the first quarter of 2011, which is a significant improvement over the comparable fourth quarter 2011 metric of (8.8)%. Our first quarter performance reflects the results of the operational and organizational changes that we started implementing in the third quarter of 2011.

Excluding the impact of foreign currency, Premex grew 6.5% in the first quarter of 2012 as compared to the same period in 2011.

The first quarter of 2012 decline in the Q4 2011 Acquisitions of (5.9)% compared to the first quarter of 2011 resulted from the anticipated decline in revenue from the three acquisitions based in Ontario due to the previously mentioned legislative changes.

Beginning with this earnings release, we are also including pro forma revenues and growth rates for the U.S., U.K. and Canadian regions. The aggregated presentation of revenue by geography provides additional insight into the geographical markets we serve and will speak directly to the size and growth of these markets. Below is a table comparing this information for the first quarter 2012 and 2011. Additionally, below is a table summarizing this information for 2011 on a quarterly basis.

Costs of revenues - For the three months ended March 31, 2012, costs of revenues were $81.2 million, an increase of 86% over the $43.6 million in costs of revenues in the first quarter of 2011. The change was primarily due to the acquired costs of revenues for acquisitions completed in 2011. Costs of revenues as a percentage of revenues for the first quarter of 2012 were 65.6% compared to 65.9% in the fourth quarter of 2011 and 65.4% in the first quarter of 2011. Included in costs of revenues in the first quarter of 2012 are $744,000 of share-based compensation expenses.

Selling, general and administrative expenses ("SGA") - For the three months ended March 31, 2012, SGA expenses were $28.6 million, an increase of 100% over the $14.3 million in SGA expenses in the first quarter of 2011. The change was primarily due to the acquired SGA for acquisitions completed in 2011. Included in SGA expenses in the first quarter of 2012 are $4.0 million in share-based compensation expenses and $200,000 in acquisition-related transaction and other non-recurring costs. Included in SGA expenses in the first quarter of 2011 are $1.0 million in share-based compensation expenses and $1.2 million in acquisition-related transaction costs and other non-recurring costs.

Depreciation and amortization expenses ("D&A") - For the three months ended March 31, 2012, D&A expenses were $14.0 million, an increase of 63% over the $8.6 million in D&A expenses in the first quarter of 2011. The change was primarily due to acquisitions completed in 2011. For the three months ended March 31, 2012, depreciation expense was $1.2 million and amortization expense was $12.8 million.

Interest and other expenses, net - For the three months ended March 31, 2012, interest and other expenses, net were $6.6 million, an increase of 560% over the $1.0 million in interest and other expenses, net in the first quarter of 2011. Included in interest and other expenses, net in the first quarter of 2012 are $6.8 million of interest expenses and deferred loan cost amortization.

Adjusted EBITDA - For the three months ended March 31, 2012, adjusted EBITDA was $18.8 million, an increase of 72% over the $10.9 million in adjusted EBITDA in the first quarter of 2011. Adjusted EBITDA is a non-GAAP measure that is described and reconciled to net loss below and is not a substitute for the GAAP equivalent.

Other financial data - We generated $4.8 million of cash flow from operations in the first quarter of 2012 after the $11.0 million bond interest payment made in January 2012. We ended the quarter with $8.5 million of cash on hand and approximately $293.7 million of total debt, consisting of $250.0 million of senior unsecured notes due July 2019, $36.6 million outstanding under the working capital facility in the U.K., $5.0 million outstanding under our senior secured revolving credit facility, and $2.1 million in seller subordinated notes. As of the end of the quarter, we had available liquidity in excess of $80 million, including cash on hand and availability under our senior secured revolving credit facility.

Business Outlook

ExamWorks is providing the following business outlook for the second quarter of 2012 and full year 2012:

  • Second quarter 2012 reported revenue is expected to range between $122 million to $126 million.

  • Second quarter 2012 adjusted EBITDA margin is expected to be consistent with the adjusted EBITDA margin experienced in the first quarter of 2012. Adjusted EBITDA is a non-GAAP measure, the use of which by ExamWorks is described below. The reconciliation to GAAP measures of reported 2012 Adjusted EBITDA is expected to be calculated and presented in a manner consistent with the reconciliation set forth below with respect to the three months ended March 31, 2012.

  • For 2012, we continue to expect organic revenue growth between 4-6% based upon our 2011 pro forma revenue of approximately $483 million. Additionally, we expect to complete acquisitions in the second half of 2012 with annual revenues of approximately $75 million.

  • For 2012, we expect adjusted EBITDA margins between 15-16% of reported revenues. We expect adjusted EBITDA margins to gradually increase over the second half of 2012 as revenue grows and we leverage our infrastructure.
