Allied Nevada Announces Senior Note Offering for Effective Principal Amount of US$400.4 Million and an Effective Interest Rate of 8.375% Per Annum

Allied Nevada Gold Corp. ("Allied Nevada" or the "Company") (TSX:ANV)(NYSE Amex: ANV) announced today that it has entered into a bought deal agreement for senior unsecured notes with Scotia Capital Inc. ("Scotia") and GMP Securities L.P. (together, the "Underwriters") and a cross currency interest rate swap with The Bank of Nova Scotia ("BNS"). The aggregate amount of gross proceeds to the Company from these arrangements will be US$400.4 million with an effective interest rate of 8.375%. The Underwriters have agreed to purchase on an underwritten basis C$400 million of aggregate principal amount of 8.75% senior unsecured notes (the "Notes") of the Company due 2019. The Company has concurrently entered into a cross currency interest rate swap with BNS which guarantees an effective principal amount of US$400.4 million and an effective interest rate of 8.375% per annum. Interest on the Notes will be payable on June 1 and December 1 of each year. The Notes will be senior unsecured obligations of the Company and will rank equally and ratably with all other senior unsecured indebtedness of the Company and senior in right of payment to any subordinated indebtedness of the Company. The Notes will be redeemable after four years at a fixed call schedule, plus accrued and unpaid interest. The Notes will be redeemable at any time, in whole or in part, prior to such time, at a price equal to the higher of the Canada Yield Price and 101% of principal amount, together with accrued and unpaid interest.

Allied Nevada intends to use the net proceeds from the offering of the Notes to fund the expansion of its Hycroft Mine. Closing of the offering of the Notes is expected to occur on or about May 25, 2012.

The Notes will be offered and sold in Canada on a private placement basis pursuant to available prospectus exemptions.
