New composition of ERAMET Board of Directors
A shareholders' agreement between Sorame-Ceir and the Fonds Stratégique d'Investissement (« FSI ») concluded for a long period
Following the AREVA group's transfer of its capital interest in ERAMET to FSI Equation, a subsidiary of Fonds Stratégique d'Investissement ("FSI"), on May 16th, 2012, the ERAMET's board of directors, meeting on Friday May 25th, 2012, co-opted as directors, as proposed by the FSI, following the resignation of four directors:
- FSI-Equation, represented by Mr Thomas Devedjian, Director and member of the Executive Committee of FSI
- Mrs Caroline Grégoire Sainte Marie, Director of Companies
- Mr Thierry Le Henaff, Chairman & CEO of ARKEMA
- Mr Claude Tendil, Chairman & CEO of GENERALI FRANCE
- The composition of the ERAMET's Board of Directors is as follows:

A shareholders' agreement was entered into on March 16th, 2012 by FSI and Sorame-Ceir with respect to ERAMET, for a period ending on December 31st, 2016. This shareholders' agreement will then be extended by tacit renewal for periods of one year, failing notice of termination given by one party to the other at least one month prior to the end of the current period1.
The new distribution of share capital and voting rights within the concert part is as follows2:

Patrick BUFFET, ERAMET group Chairman & CEO, stated after the Board:
"The shareholders' agreement between Sorame-Ceir and the Fonds Stratégique d'Investissement, which was concluded for a long period, provides to ERAMET's capital a stability which is very favorable for the conduct of its ambitious development program."
