Court registration of increased share capital.


The Management Board of Arctic Paper S.A. (“Company”) herewith informs that
today the Company received information that on January 29, 2013 the District
Court of Poznan – Nowe Miasto i Wilda in Poznan, 8-th Business Department of the
National Court Register, registered an increase of the Company’s share capital
by PLN 283.947 from issue of 283.947 ordinary bearer shares of the F series,
with face value of PLN 1. The increase took place in reference to the settlement
of acquisition of shares in Swedish company Rottneros AB, about which the
Company has informed in the current reports to Warsaw Stock Exchange no. 42/2012
and 3/2013.

In the same time, the Company informs that within the same conditional increase
of share capital and the same tender offer for the sale or exchange of the
shares of Rottneros AB, on the January 10, 2013 the District Court of Poznan –
Nowe Miasto i Wilda in Poznan, 8-th Business Department of the National Court
Register, registered an increase of the Company’s share capital by PLN
10.740.983 from issue of 10.740.983 ordinary bearer shares of the F series, with
face value of PLN 1. About the increase and issue of ordinary bearer shares of
the F series, the Company has informed in the current report to WSE no. 42/2012.

Following the recent increase, the share capital registered in the National
Court Register amounts PLN 66.428.430, comprising of:

  · 50.000 A Series shares,
  · 44.253.500 B Series shares,
  · 8.100.000 C Series shares,
  · 3.000.000 E Series shares,
  · 11.024.930 F Series shares.

Total 66.428.430 ordinary shares of PLN 1 nominal value each.

Total number of votes from all Arctic Paper S.A. shares after registration of
the increased nominal capital is 66.428.430.
