FLAGGING NOTIFICATION IN ACCORDANCE WITH CHAPTER 9, SECTION 5 OF THE SECURITIES MARKET ACT
GeoSentric Oyj (the “Company”) has received a disclosure notices under chapter 9, section 5 of the Securities Market Act regarding a change in holdings. According to the notices, the holdings of ANSA McAL Limited, Schroder & Co (Parent company being Schroders Plc) and Schroder Investment Management Limited have changed as follows due to an acquisition or disposal of voting rights on May 14, 2013:
1) ANSA McAL Limited (registered in Trinidad and Tobaco under the registration number 1024426)
- Basis for the flagging: Disposal of the shares and voting rights. As result of the disposal the shares and voting rights held by ANSA McAL Limited and the entities controlled by it (“Ansa Group”) has been decreased under 1/20 and 1/10
- Number of the shares and voting rights preceding the triggering transaction:
468,377,779 shares and voting rights
- Number of the shares and voting rights following the triggering: 0 shares and voting rights corresponding to 0.00% of the shares and voting rights of the Company
2) Schroder Investment Management Limited (registered in the England and Wales under the registration number 1893220), holds the Company’s shares as an asset manager for its clients. The parent company Schroders Plc does not control any of the voting rights used by Schroder Investment Management Limited on behalf of its clients
- Basis for the flagging: Disposal of the shares and voting rights by its client Ansa Group as described above. As result of the disposal the shares and voting rights held by Schroder Investment Management Limited as an asset manager for its clients has decreased under 1/20, 1/10 and 3/20
- Number of the shares and voting rights preceding the triggering transaction:
549,040,364 shares and voting rights
- Number of the shares and voting rights following the triggering: 80,662,585 shares and voting rights corresponding to 2.31% of the shares and voting rights of the Company
3) Schroder & Co Limited (registered in the England and Wales under the registration number 2280926), being a subsidiary of Schroders Plc (registered in the England and Wales under the registration number 03909886)
- Basis for the flagging: Acquisition of the shares and voting rights
- Number of the shares and voting rights preceding the triggering transaction:
0 shares and voting rights
- Number of the shares and voting rights following the triggering: 468,377,779 shares and voting rights corresponding to 13.42% of the shares and voting rights of the Company increasing the shares and votes over 1/10
As of the date of this release the registered shares amount of GeoSentric Oyj is 3,490,246,354 and share capital EUR 8,955,761.65.
