On September 29, 2014, TIBCO and Vista Equity Partners ("Vista") announced the signing of a definitive merger agreement pursuant to which Vista will take TIBCO private in a going-private merger in a deal worth $4.3 billion. As a result of the buyout, TIBCO shareholders are only anticipated to receive $24.00 per share in cash in exchange for each share of TIBCO. While the Company claims that shareholders will receive a premium for their shares, the Company traded as high as $24.48 as of December 19, 2013. The process leading up to the announcement of the merger appears to have significant conflicts of interest, thus making the process and consideration unfair.
On October 14, 2014, a TIBCO shareholder represented by another law firm filed a class action complaint challenging TIBCO's merger with Vista. The complaint was filed in the California Superior Court in Santa Clara, Case No. 1-14-CV-271814.
