CRÉDIT AGRICOLE S.A. GENERAL MEETING OF SHAREHOLDERS
Dividend set at €0.35 per share
Crédit Agricole S.A.'s Annual General Meeting (AGM) was held on Wednesday, 20 May 2015 at the Grand Palais in Lille. It was chaired by Jean-Marie Sander, Chairman and Jean-Paul Chifflet, Chief Executive Officer.
More than 800 shareholders were present. With a quorum of 76.29%, shareholders at the Meeting approved all the resolutions proposed by the Board of Directors.
The dividend for 2014 was set at €0.35 per share. Shares held in registered form continuously from 31 December 2012 through to the dividend payment date will qualify for a 10% bonus equivalent to €0.035 per share. Between 28 May and 12 June 2015 inclusive, shareholders may elect to receive payment of the dividend either fully in cash or fully in shares with an issue price of €12.17.
Following the adoption of the 4th and 5th resolutions by the AGM, the majority shareholder of Crédit Agricole S.A., SAS Rue La Boétie, confirmed that it would take the dividend in newly issued shares, as announced at the time of the presentation of the 2014 annual results in February 2015.
Over 17,000 shareholders voted ahead of the AGM, including around 50% by internet using the Votaccess system introduced last year to enable as many shareholders as possible to vote. A webcast of the General Meeting was streamed live on Crédit Agricole S.A.'s website, and a recording is also available for viewing.
In addition, AGM appointed François Thibault, Chief Executive Officer of the Caisse Régionale Centre Loire, as director, replacing Jean-Louis Delorme.
Shareholders at the AGM also ratified the co-opting as a director of Roger Andrieu, Chief Executive Officer of the Caisse Régionale des Côtes d'Armor, replacing Marc Pouzet.
Shareholders in the meeting renewed the three-year terms of office of Roger Andrieu, Pascale Berger, Pascal Célérier, Monica Mondardini, Jean-Louis Roveyaz and SAS Rue La Boétie, which expired at the AGM.
During his speech, Jean-Marie Sander, Chairman of Crédit Agricole S.A., announced: "At a time when a new Executive Management team is coming on board, I want to contribute to generating the positive energy it will need in the months and years ahead, to meet the major challenges that our Group is facing. I will provide support to the new team during the transition and will step down as Chairman of the Board by the end of the year. In my own way, I will therefore help to strengthen the Group's unity -something I have always strived to achieve and that means a great deal to me."
In accordance with the decision adopted by the Board of Directors on 24 February, at the end of the AGM, Philippe Brassac took up his role as Chief Executive Officer of Crédit Agricole S.A., replacing Jean-Paul Chifflet.
