Vanguard Natural Resources Announces Postponement of 2015 Annual Meeting


HOUSTON, May 26, 2015 (GLOBE NEWSWIRE) -- Vanguard Natural Resources, LLC (Nasdaq:VNR) ("Vanguard" or "the Company") today announced that its Board of Directors has determined to postpone the 2015 Annual Meeting of Unitholders (the "Annual Meeting"), originally scheduled for June 4, 2015. The Board of Directors decided to postpone the Annual Meeting so that Unitholders could also vote on a proposal to approve the issuance of Vanguard common units to unitholders of Eagle Rock Energy Partners, L.P. ("Eagle Rock") pursuant to an Agreement and Plan of Merger, dated May 21, 2015, pursuant to which a subsidiary of the Company will merge with and into Eagle Rock, with Eagle Rock surviving the merger as a wholly-owned indirect subsidiary of the Company.

At a later date, the Company will provide information related to a rescheduled unitholder meeting.
