Voluntary takeover bid


We have today received the following announcement from MEDF Holding A/S:

MEDF Holding A/S, which is owned 100% by the commercial foundation Mads Eg Damgaards Familiefond, has today via a newly established subsidiary, Selskabet 5 November 2018 A/S, entered into agreement with SmallCap Danmark A/S (SCD) to take over SCD’s total portfolio of 19% B-shares in egetæpper A/S to a price of 220 DKK per share.

MEDF Holding A/S already owns a controlling equity interest in egetæpper a/s in the form of all class A-shares and a large part of B-shares, corresponding to 38.6% of the share capital and 71.3% of the votes in egetæpper a/s. After completion of the transaction, the owner's share will increase to 57.6% of the share capital and 80.2 of the votes.

The non-profit foundation, ege fonden, which like the Familiefond was founded by Mads Eg Damgaard, also owns B-shares in egetæpper corresponding to 29.1% of the share capital and 13.7% of the votes. In total the two foundations will own 86.8% of the shares with a total voting weight of 93.8%.

As a consequence Selskabet af 5. November 2018 A/S will submit a voluntary takeover bid as soon as possible aimed at the remaining shareholders holding 13.2% of the B-shares in egetæpper a/s, enabling the shareholders to sell their shares in egetæpper a/s to 220 DKK per share, prior to a process of delisting.
