Silmäasema Oyj has received the following information regarding Coronaria’s subsequent offer period of the public tender offer for all shares in Silmäasema Oyj:
Coronaria Oy (“Coronaria” or the “Offeror”) has on September 5, 2019 commenced a mandatory public tender offer to purchase all of the issued and outstanding shares in Silmäasema Oyj (“Silmäasema”) that are not held by the Offeror, Silmäasema or any of its subsidiaries (the “Tender Offer”). The subsequent offer period under the Tender Offer (the “Subsequent Offer Period”) commenced on October 2, 2019 at 9:30 a.m. (Finnish time) and was scheduled to expire on November 7, 2019 at 4:00 p.m. (Finnish time).
The Offeror has decided to extend the Subsequent Offer Period of the Tender Offer by two weeks to end on November 21, 2019 at 4:00 p.m. (Finnish time). In connection with its decision to extend the Subsequent Offer period, the Offeror has, among other things, considered the observations of the Board of Directors of Silmäasema (disclosed by Silmäasema on November 4, 2019). In respect of the observations, the Offeror supplemented the tender offer document relating to the Tender Offer on November 7, 2019.
Based on preliminary information the shares tendered during the Subsequent Offer Period prior to November 7, 2019 represent approximately 4.57% of all the issued and outstanding shares and votes in Silmäasema. Together with the shares tendered during the initial offer period and otherwise acquired by the Offeror through market purchases the shares represent approximately 89.47% of all the issued and outstanding shares and votes in Silmäasema in aggregate.
Settlement trades for shares that have been tendered during the Subsequent Offer Period are executed each week. The Offeror will confirm and announce the final amount of shares validly tendered during the first week of the extended Subsequent Offer Period up to November 14, 2019 on or about November 18, 2019, and will complete the settlement trades for such shares on or about November 19, 2019. The Offeror will confirm and announce the final amount of shares validly tendered during the second week of the extended Subsequent Offer Period up to November 21, 2019 on or about November 25, 2019, and will complete the settlement trades for such shares on or about November 26, 2019 in accordance with the terms and conditions of the Tender Offer. The actual time of receipt of the payment by tendering shareholders will depend on the time required to process the onward payment by financial institutions.
During the Subsequent Offer Period, the Tender Offer can be accepted in accordance with the acceptance procedure described in the terms and conditions of the Tender Offer. All acceptances will be binding and cannot be withdrawn. Further instructions can be obtained from Evli Bank Plc by sending email to operations@evli.com.
The Offeror may purchase shares in Silmäasema during or after the Subsequent Offer Period also in public trading on Nasdaq Helsinki Ltd or otherwise outside the Tender Offer.
Silmäasema’s operations will continue as normal and the transaction has no impact on our customers.
