Clôture de l’émission de droits de souscription pour la première tranche des augmentations de capital
L’assemblée générale extraordinaire de MCH Group SA du 27 novembre 2020 a, entre autres, décidé de réaliser des augmentations de capital d’un montant maximum de 104,5 millions de CHF en deux tranches. Dans la première tranche, le capital social de la société sera augmenté de 60 065 750 CHF à 80 065 750 CHF par l’émission de 2 000 000 nouvelles actions nominatives d’une valeur nominale de 10 CHF chacune à un prix d’émission unitaire de 15 CHF. La période de souscription pour cette première tranche des augmentations de capital décidées s’est étendue du 30 novembre au 4 décembre 2020, à 12h00 (CET).
Dans cette première tranche, un droit de souscription a été attribué pour chaque action MCH détenue après la clôture de la bourse le 27 novembre 2020. Trois droits de souscription permettent au détenteur de souscrire une nouvelle action au prix de 15,00 CHF. MCH Group SA annonce aujourd’hui qu’à la fin de la période de souscription, le 4 décembre 2020 à 12h00 (CET), les actionnaires privés ont exercé 37,66 % de leurs droits de souscription. Tous les droits de souscription des collectivités de droit public participant à la société et les droits de souscription non exercés par les actionnaires privés ont été attribués au canton de Bâle-Ville. Après l’émission des nouvelles actions nominatives à créer, la participation des actionnaires privés passera de 50,89 % à 42,97 % et celle des collectivités de droit public sera de 57,03 % (contre 49,11 % auparavant).
Le premier jour de cotation des nouvelles actions nominatives est fixé au 9 décembre 2020.
Les modalités de la deuxième tranche des augmentations de capital seront annoncées dans la soirée du 7 décembre 2020.
