Atlas responds to recommendation of the Independent Committee of the Board of Directors of Millicom International Cellular S.A.
Atlas Luxco S.à r.l.1 (“Atlas” or the “Purchaser”), a subsidiary of Atlas Investissement S.A.S.1, acknowledges the reaffirmation of the negative recommendation of the Independent Committee of the Board of Directors (the “Independent Committee” or the “Committee”) of Millicom International Cellular S.A.2 (“Millicom” or the “Company”) issued on August 9, 2024.
Atlas is disappointed by this renewed negative recommendation issued by Millicom’s Independent Committee lacking additional arguments in view of Atlas’ increased offer price. The revised offer price provides a unique window of liquidity at even more attractive premiums than previously, as further noted below. Atlas also takes note of Millicom’s share price currently trading below the revised offer price of USD 25.75 (the “Revised Offers”).
Atlas takes this opportunity to reiterate below some key highlights of the Revised Offers and strongly encourages shareholders to make their own independent assessment on whether to tender into the Offers (as defined in the Offer to Purchase filed with the Securities and Exchange Commission and approved and registered with the Swedish Financial Supervisory Authority on July 1, 2024). Atlas reminds Millicom’s shareholders that the Offers expire at one minute after 10:59 a.m. EST, or one minute after 4:59 p.m. CEST, on August 16, 2024.
- On August 2, 2024, Atlas increased the Offer Price from USD 24.00 per common share (each, a “Common Share” and collectively, the “Common Shares”) and USD 24.00 per Swedish Depositary Receipt (each, an “SDR,” and collectively, the “SDRs,” and together with the Common Shares, the “Shares”) to USD 25.75 per Common Share and USD 25.75 per SDR, representing a 7.3 per cent increase over Atlas’ initial price in the Offers, which Atlas views as compelling.
- At USD 25.75 per Common Share and per SDR, the Offers are providing even more value to Millicom’s shareholders, as the Revised Offers represent:
- the highest share price for the Shares reached by Millicom over the last two years until May 22, 2024 (the last day of trading prior to market speculation regarding a potential public offer for the Company)3;
- a 27.5 per cent premium compared to the volume weighted average trading price for the Shares during the last 90 calendar days ended on May 22, 2024 (the last day of trading prior to market speculation regarding a potential public offer for the Company) (versus a 18.8 per cent premium based on the initial price in the Offers); and
- a 36.4 per cent premium compared to the volume weighted average trading price for the Shares during the last 180 calendar days ended on May 22, 2024 (the last day of trading prior to market speculation regarding a potential public offer for the Company) (versus a 27.1 per cent premium based on the initial price in the Offers)4.
- Thus, such increase provides more value to all shareholders wishing to tender their Shares and, in particular, allows shareholders who have bought Shares since May 22, 2024 (the last day of trading prior to market speculation regarding a potential public offer for the Company), to make a profit.
