HEIJMANS REINFORCES ITS POSITION IN INDUSTRIAL SERVICES THROUGH TAKE-OVER OF RMH, OF SPRUNDEL


ROSMALEN - Heijmans N.V. (construction and construction-related activities) expects to reach agreement about the take-over of Roks Montage Holland B.V. and Adco Industrial Services B.V., in Sprundel. The company is primarily active in mechanical engineering-based new construction and maintenance, particularly for industrial clients. The area of RMH’s operation is focussed on the industrial area Antwerp – Vlissingen – Bergen op Zoom. Upon definitive consensus, the transaction will be effected with retroactive effect as of 1 January 2001. The take-over will be settled in cash. The contribution to the profit per share of Heijmans will amount to approximately € 0.02 per share in 2001.

Roks Montage Holland and Adco Industrial Services engage in the manufacture, assembly, maintenance and repair of industrial pipework, machinery and equipment building and pressure vessels and related construction work. The company has specific know-how in the field of building package units for compressors and gas turbines for various, internationally operating manufacturers. Turnover amounts to € 10.4 million and the company employs some 60 people. The profitability is higher than the average of the Heijmans companies.

The planned take-over concurs with the strategy to reinforce the position of Heijmans Industrie en Productie regionally. This strategy aims at an increase of activities through, among other things, further growth in mechanical engineering. The planned acquisition enhances the position of Heijmans in the area of new construction and maintenance of installations in the (petro)-chemical industry.
