Heijmans to sell Vebo to BTE Nederland BV


Vebo is active in the design, manufacture and supply of batches of prefab concrete and steel elements. The products are sold on the Dutch market for house-building and commercial and public buildings. The company has been part of Heijmans since 1997. Vebo Holding BV is the holding company for the wholly-owned subsidiaries Prefab Beton Vebo BV, Vebo Staal BV, Nehobo Beton and Staal BV.
 
Heijmans indicated some time ago that batch production does not belong in the company's strategy. Heijmans wants to expand its activities at the front end of the chain (design, development) and at the back end of the chain (maintenance and management). In April 2005, Heijmans sold the production company Opstalan (insulating roof systems) and an agreement was reached in January 2006 about a management buy-out of the wood and chipboard processing plant Bouw Toe.
 
BTE Nederland BV, the Dutch division of the BTE group, is part of the Hombergh group in Teteringen. The BTE group is a leading industrial group of prefab concrete producers with a consolidated turnover of approximately EUR 110 million. The BTE group employs around 650 people in the Netherlands and Germany and has 12 production sites.

The takeover of Vebo Holding BV fits perfectly with BTE's vision and strategy of strengthening its position in the Netherlands and is appealing because of the complementary nature of Vebo's products. In addition, the company's pursuit of economies of scale and of optimising production will benefit from Vebo's collaboration with the other BTE companies.
 
Heijmans will enable BTE to conduct a due diligence study, after which the parties expect to be able to complete the takeover in mid-May.
